Boredbrains Open Knowledge Return License v2 (BOKRLv2)

This Boredbrains Open Knowledge Return License v2.2 (hereinafter referred to as "BOKRLv2") governs the use of the MICT/HQC Framework (hereinafter referred to as "the Framework"), any associated software, designs, architectures, quantum computing implementations, AI tools, or other intellectual property provided by Boredbrains Consortium (hereinafter referred to as "Boredbrains").

1. Definitions:

Framework: Refers to the Mobius Inspired Cyclical Dimensional Transformation with Human Quantum Cognition (MICT/HQC) framework, including its core concepts, principles, methodologies, and applications to both classical and quantum computing.
Software: Refers to any computer programs, code, algorithms, or other software tools provided by Boredbrains that implement or utilize the Framework, including classical, quantum, and hybrid implementations.
Quantum Computing Implementations: Refers to any adaptations, modifications, or implementations of the Framework specifically designed for use in quantum computing environments, including quantum algorithms, quantum circuits, and hybrid classical-quantum algorithms.
AI Tools: Refers to any AI-based tools, models, or algorithms provided by Boredbrains that can be used to audit or improve AI systems, including tools for bias detection, explainability analysis, and robustness testing.
Knowledge Return: Refers to the obligation of the Licensee to report back any new discoveries, insights, modifications, or improvements made while using the Framework, Software, or AI Tools, including advancements in quantum computing implementations and AI auditing techniques.
Pre-Commercial Use: Refers to any use of the Framework, Software, or AI Tools that is funded by grants, investments, or other non-revenue-generating sources, with the intent to develop a commercial product or service.
Commercial Use: Refers to any use of the Framework, Software, or AI Tools that is intended for commercial gain or profit through the sale of products, services, or other offerings.
Pre-Commercial Usage Fee: Refers to the 5% of provided funding or investment payable to Boredbrains during the Pre-Commercial Use phase.
Commercial Usage Fee: Refers to the 10% of gross revenue payable to Boredbrains for Commercial Use.

2. Grant of License (Non-Commercial Use):

Subject to the terms and conditions of this BOKRLv2, Boredbrains grants to you (hereinafter referred to as "the Licensee") a royalty-free, non-exclusive, worldwide, perpetual license to use the Framework, Software, and AI Tools for the following purposes:

Research: Conducting academic or non-commercial research related to the Framework, including research in quantum computing and AI auditing.
Education: Using the Framework, Software, and AI Tools in educational settings, including classrooms, workshops, and training programs, including those related to quantum computing and AI auditing.
Personal Use: Using the Framework, Software, and AI Tools for personal learning and development, including exploration of quantum computing and AI auditing concepts.

3. Knowledge Return Obligation (Non-Commercial Use):

As a condition of this non-commercial license, the Licensee agrees to provide Knowledge Return to Boredbrains. This means that the Licensee will:

Report any new discoveries, insights, modifications, or improvements made while using the Framework, Software, or AI Tools, including advancements in quantum computing implementations and AI auditing techniques.
Provide this information to Boredbrains in a timely manner, through designated channels (e.g., online forums, email, or a dedicated reporting platform).
Grant Boredbrains a non-exclusive, royalty-free license to use, reproduce, and distribute the reported information for the benefit of the open knowledge base.

4. Grant of License (Pre-Commercial Use):

Subject to the terms and conditions of this BOKRLv2, Boredbrains grants to the Licensee a non-exclusive, worldwide license to use the Framework, Software, and AI Tools for Pre-Commercial Use, subject to the following conditions:

Pre-Commercial Usage Fee: The Licensee agrees to pay Boredbrains a Pre-Commercial Usage Fee equal to 5% of all funding or investment received specifically for the development of products or services utilizing the Framework, Software, or AI Tools. Payment terms will be agreed upon separately.
Reporting of Funding/Investment: The Licensee agrees to provide regular reports to Boredbrains detailing funding or investment received related to Pre-Commercial Use. The frequency and format of these reports will be agreed upon in a separate agreement.

5. Grant of License (Commercial Use):

Subject to the terms and conditions of this BOKRLv2, Boredbrains grants to the Licensee a non-exclusive, worldwide license to use the Framework, Software, and AI Tools for Commercial Use, subject to the following conditions:

Commercial Usage Fee: The Licensee agrees to pay Boredbrains a Commercial Usage Fee equal to 10% of gross revenue derived from any product, service, or other offering that incorporates or utilizes the Framework, Software, or AI Tools.
Reporting of Revenue: The Licensee agrees to provide regular reports to Boredbrains detailing gross revenue generated from Commercial Use. The frequency and format of these reports will be agreed upon in a separate agreement.

6. Knowledge Return Obligation (Pre-Commercial and Commercial Use):

As a condition of these licenses, the Licensee agrees to provide Knowledge Return to Boredbrains. This means that the Licensee will:

Report any new discoveries, insights, modifications, or improvements made while using the Framework, Software, or AI Tools, including advancements in quantum computing implementations and AI auditing techniques.
Provide this information to Boredbrains in a timely manner, through designated channels.
Grant Boredbrains a non-exclusive, royalty-free license to use, reproduce, and distribute the reported information for the benefit of the open knowledge base.

7. Final Terms and Agreements:

The specific terms and conditions related to Pre-Commercial and Commercial Usage Fees, reporting requirements, payment schedules, and other commercial aspects will be detailed and agreed upon in separate written agreements between Boredbrains and the Licensee before any commercial activity commences.

8. No Warranty:

The Framework, Software, and AI Tools are provided "as is" without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability:

In no event shall Boredbrains be liable for any damages, including but not limited to direct, indirect, incidental, special, or consequential damages, arising out of the use of or inability to use the Framework, Software, or AI Tools.

10. Termination:

This BOKRLv2 may be terminated by Boredbrains if the Licensee breaches any of its terms and conditions.

11. Governing Law:

This BOKRLv2 shall be governed by and construed in accordance with the laws of Nevada, USA.

12. Entire Agreement:

This BOKRLv2 constitutes the entire agreement between Boredbrains and the Licensee regarding the use of the Framework, Software, and AI Tools, except for the separate agreements detailing specific commercial terms as outlined in section 7.
